Terms of Service
These terms are an agreement between you and FIIC Ventures LLC, a Delaware limited liability company ("FIIC", "we", "us"), the company behind Notch. They cover notchhq.app, app.notchhq.app and the Notch service (together, "Notch"). By creating an account or using Notch you agree to them. If you use Notch for a company or team, you agree on its behalf and confirm you are allowed to.
1. Accounts
- You sign in through our sign-in provider with an email address or a Google account. Keep access to that account secure; you are responsible for what happens under it.
- You must be at least 16 years old and give accurate information.
- Tell us at hello@notchhq.app if you think someone else has used your account.
2. Workspaces and admins
- Work in Notch happens in workspaces. The person who creates a workspace, and anyone they make an admin, controls it: who is invited, who is deactivated, settings, and imports.
- If you join a workspace run by your employer or a client, its admins can see and manage the issues, comments and time you add there.
- The organization that runs a workspace is responsible for the content its members add and for having the right to add it.
3. Your content
- You keep all rights to what you put into Notch: issues, comments, files, time entries and anything you import ("Your Content").
- You give us permission to host, store, copy, process and display Your Content only as needed to run Notch for you, keep it secure, and support you. We do not sell it and do not use it to advertise to you.
- When you import from another service (such as Linear or Everhour), you confirm you are allowed to move that data, and you are responsible for the access keys you use.
4. Acceptable use
Do not use Notch to:
- break the law or infringe anyone's rights;
- upload malware, or try to get into accounts, workspaces or systems that are not yours;
- overload, probe or disrupt the service, or get around its limits;
- resell or rent Notch to others without our written agreement;
- send spam through invites or notifications.
We may suspend access that breaks these rules, and will tell you why unless the law or safety prevents it.
5. Early access and fees
- Notch is in early access. Features may change, and some may be marked as early or experimental.
- If your team uses Notch on paid terms, the price, billing period and payment method are what we agree with you in writing or show at checkout. Fees are due in advance and are not refundable except where the law requires or we say otherwise.
- We will give at least 30 days' notice before changing what you pay. You can stop using Notch before the change takes effect.
6. Services we rely on
Notch runs on services from other companies, such as hosting, the database, sign-in and email. Our Privacy Policy lists them. Their outages can affect Notch, and we choose them with care, but we are not responsible for services you connect yourself.
7. Our property
Notch, its software, design and brand belong to us. These terms give you the right to use Notch as offered; they do not transfer any of our rights to you. If you send us feedback or ideas, we may use them without owing you anything.
8. Ending use
- You can stop using Notch at any time. A workspace admin can ask us to delete the workspace and its content by writing to hello@notchhq.app.
- We may end or suspend your access if you seriously or repeatedly break these terms, if we are required to by law, or if we stop offering Notch. Unless the reason is a serious breach or a legal requirement, we will give you at least 30 days' notice and a way to export your data (reports export as CSV).
- After an account or workspace ends, we delete its content within 90 days, except where we must keep something by law. Backups roll off on their normal schedule.
9. Disclaimers
We work hard to keep Notch running and your data safe, but Notch is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise Notch will be uninterrupted or error-free. Keep your own records of anything you cannot afford to lose, such as time reports used for invoicing.
10. Limits on liability
To the fullest extent the law allows, neither you nor we are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from these terms or Notch. Our total liability for any claim is limited to the greater of the amount you paid us for Notch in the 12 months before the claim, or 100 US dollars. These limits do not apply where the law does not allow them.
11. Indemnity
If someone makes a claim against us because of Your Content or your breach of these terms, you agree to cover our reasonable costs and losses from that claim, as far as the law allows.
12. Changes to these terms
We may update these terms. For changes that matter, we will tell workspace admins by email or in Notch at least 30 days before they take effect. If you keep using Notch after that, the new terms apply. The date at the top shows the latest version.
13. Governing law
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Any dispute will be heard in the state or federal courts located in Delaware, and both sides agree to those courts' jurisdiction. If you are a consumer, you keep any rights the law of your home country gives you.
14. Everything else
- These terms and the Privacy Policy are the whole agreement about Notch, unless we sign a separate agreement with your organization, which then takes precedence.
- If part of these terms cannot be enforced, the rest still applies.
- You may not transfer these terms without our consent; we may transfer them to a company that takes over Notch.
- Not enforcing a term straight away does not mean we give it up.
